Terms of Use for Recruiters and Employers

I. General Provisions

1. Scope of Application
1.1

The provider of the Recruiteroo platform (hereinafter referred to as the "Platform") is RecruiterooGmbH, Ludwigshafener Straße 55, 67141 Neuhofen, Germany (hereinafter referred to as "we" or "Recruiteroo").

1.2

We make our Platform available for use by legal entities and natural persons who have reached the ageof 18.

1.3

These Terms of Use for Recruiters and Employers (hereinafter "Terms", Recruiters and Employershereinafter individually or collectively referred to as "Users") constitute the sole and complete agreement betweenus and the Users regarding the use of the Platform. We do not recognize any terms and conditions of the User thatdeviate from these Terms unless we have expressly agreed to their validity.

1.4

We reserve the right to amend these Terms, particularly due to changes in legislation or to improvethe functionality of our Platform, provided such changes are reasonable for the User. Amendments to these Terms willbe sent to the email address provided by the User, along with the revised version. The amendments shall be deemedaccepted by the User unless the User objects to the changes within four weeks of receiving the notification ofamendment, provided we have expressly pointed out this approval fiction in the amendment notice. An email to us issufficient for this purpose.

2. Our Services
2.1

We provide a solution via the Platform that allows employers to publish their own job postings.Recruiters have the opportunity to forward job postings published on the Platform to individuals seeking employment(hereinafter "Applicants") by sending a link (hereinafter "Referral Link") to the respective job offer (hereinafterthe "Referral") and to participate in our Croodits program. Applicants who receive a Referral Link are free to clickon it and apply for the respective job posting. For each successful Referral between an Applicant and the Employer,the Employer shall pay a fee to Recruiteroo. Likewise, the Recruiter shall be entitled to a commission for eachsuccessful Referral between an Applicant and the Employer, which will be paid by Recruiteroo to the Recruiter. Aportion of the commission due to the Recruiter may be donated to a charitable organization or social enterprise oftheir choice.

2.2

Our services consist of providing access to the Platform, enabling the publication of job postings,and facilitating the referral and receipt of applications.

2.3

If the User uses our Platform as a Recruiter, our services are additionally governed by the SpecialProvisions for Recruiters in Section II.

2.4

If the User uses our Platform as an Employer, our services are additionally governed by the SpecialProvisions for Employers in Section III.

3. Provision of Platform Usage
3.1

We provide our Platform in its current version as a web application.

3.2

We are entitled, but not obligated, to continuously develop the Platform through feature-enhancingupdates and/or upgrades if necessary to adapt to a new technical environment, increased user numbers, or for otheroperational reasons. The further development of the Platform may result in the addition and/or modification offunctionalities, optimization of existing functionalities in terms of process and/or user interface, or adaptationof data management to the state of the art.

4. Registration
4.1

To use the functions of the Platform, a free registration by the User is required.

4.2

The User warrants that the information provided during registration, in their profile, and to otherUsers is true and complete. The User undertakes to notify us immediately of any future changes to the informationprovided.

4.3

We are entitled to revoke a User’s access or block access to the Platform if there is sufficientsuspicion that the User has violated these Terms. The User may avert such measures by disproving the suspicion attheir own expense by providing appropriate evidence.

4.4

The User’s login may only be used by the authorized User. The User is obliged to keep their logincredentials confidential and to protect them from unauthorized access by third parties. In case of suspected misuseby a third party, the User must inform us immediately. Once we become aware of unauthorized use, we will block theunauthorized User’s access. We reserve the right to change a User’s login credentials; in such cases, we will informthe User immediately.

5. General Liability
5.1

To the extent that we provide our services free of charge, our liability is governed by §§ 599 et seq.of the German Civil Code (BGB). In cases of simple negligence, we are additionally liable for damages resulting frominjury to life, body, or health. The provisions of the Product Liability Act remain unaffected.

5.2

To the extent that we provide our services for a fee, we shall be liable – regardless of the legalbasis – for damages or reimbursement of futile expenses in accordance with the following provisions:

5.2.1

In cases of intent or gross negligence, we shall be liable without limitation. In cases of simplenegligence, we shall only be liable for damages resulting from the breach of a material contractual obligation (anobligation whose fulfillment is essential for the proper execution of the contract and on whose compliance thecustomer regularly relies and may rely); in such cases, our liability is limited to the typical, foreseeable damage.

5.2.2

The exclusions and limitations of liability under Clause 5.2.1 shall not apply if we have fraudulentlyconcealed a defect or assumed a guarantee for the quality of the item, for damages resulting from injury to life,body, or health, or in the event of liability under the Product Liability Act.

5.3

To the extent that our liability is excluded or limited, this also applies to the personal liabilityof our legal representatives and vicarious agents.

6. Blocking, Exclusion from the Platform
6.1

If a User violates any provision of these Terms for reasons attributable to them, we may, after priornotification of the User, restrict or suspend the User’s access to the Platform and their profile, provided theviolation can demonstrably be remedied in this way.

6.2

If a User repeatedly violates the provisions of these Terms, we are entitled to exclude the User fromusing the Platform.

7. Consumer Dispute Resolution
7.1

We do not participate in dispute resolution proceedings before a consumer arbitration board and arenot obliged to do so.

8. Governing Law and Jurisdiction
8.1

The relationship between us and the User shall be governed exclusively by the laws of the FederalRepublic of Germany, to the extent legally permissible. The United Nations Convention on Contracts for theInternational Sale of Goods (CISG) shall not apply.

8.2

If the User is a merchant within the meaning of the German Commercial Code (HGB), a legal entity underpublic law, or a special fund under public law, the place of jurisdiction for all disputes arising from the businessrelationship between us and the User shall be our registered office in Neuhofen, Germany. We are also entitled tobring an action at the User’s place of business or any other permissible place of jurisdiction.

II. Special Provisions for Recruiters

9. Sending Referral Links to Applicants (Referral Function); Pre-Screening of ApplicationDocuments; Indemnification
9.1

Recruiters have the option to forward job postings published on the Platform to third parties("Applicants"). For this purpose, a so-called "Unique Link" (hereinafter "Referral Link") is generated for therespective job offer, which the Recruiter can share with the potential Applicant. The number of daily possiblereferrals depends on the number of Croodits available to the Recruiter (Clause 12). The Applicant can apply for thelinked job posting via the Referral Link received from the Recruiter. For each successfully completed applicationprocess between an Applicant and the Employer, the Recruiter shall be entitled to a commission in accordance withClause 10.

9.2

The Applicant contacted by the Recruiter must be a natural person who has reached the age of 18. TheRecruiter undertakes to transmit the Referral Link only to Applicants who, unless another legal basis applies, havegiven their prior express consent to receive the Referral Link in accordance with data protection regulations. TheRecruiter guarantees that all data protection requirements are met when actively approaching Applicants.

9.3

If the Recruiter has opted to conduct a pre-screening of the Applicant’s documents before sending theReferral Link, the Applicant’s documents will first be transmitted to the Recruiter before being forwarded to theEmployer. The Recruiter has five days from receipt of the documents to review the application and decide whether toforward it to the Employer. If no review is conducted within five days, the application will automatically beforwarded to the Employer.

9.4

The review of the Applicant’s documents is the sole responsibility of the Recruiter. We are notinvolved in the pre-screening process and assume no liability for the Recruiter’s handling of personal data duringthis process.

9.5

If Recruiteroo is held liable by the Applicant and/or a third party due to a culpable breach of theRecruiter’s obligations under this Clause 9 or due to any unlawful conduct by the Recruiter in connection with thereferral function or pre-screening, the Recruiter shall indemnify Recruiteroo against all claims, including publiclaw claims, and shall bear the necessary legal defense costs.

10. Provisions Accrual and Payment; Donation to Charitable Organizations/Social Enterprises
10.1

The Recruiter shall accrue a commission (the "Referral Commission") for each successfully completedreferral under the following conditions. A referral is deemed successful if:

10.1.1

The Applicant has clicked on the Referral Link sent by the Recruiter and applied for the respectivejob posting; and

10.1.2

Subsequently, a legally binding employment contract has been concluded between the Applicant and theEmployer who published the respective job posting.

10.2

The assignment of a successful referral to the Recruiter is made via the Referral Link generated inaccordance with Clause 9.1. If an employment contract is concluded between the Applicant and the Employer withoutusing the Referral Link or the Platform, the Recruiter shall not accrue a Referral Commission due to the lack ofassignability.

10.3

The Employer who published the job posting is not obliged to offer the Applicant an employmentcontract. The decision whether to consider the Applicant’s application lies solely at the discretion of theEmployer.

10.4

The Recruiter can view the status of applications on the Platform at any time, where it is indicatedwhether the application process has been successfully completed, is still pending, or has been rejected. TheRecruiter is not entitled to any further rights to information regarding the status of initiated applicationprocesses.

10.5

The amount of the Referral Commission accrued by the Recruiter in the event of a successful referraldepends on the number of Croodits accumulated by the Recruiter (Clause 12). The Recruiter can view the applicablecommission rates, including minimum and maximum commission amounts, on the Platform at any time. Recruiterooreserves the right to adjust the commission rates.

10.6

The payment of the accrued Referral Commission shall be made in two installments upon fulfillment ofthe following conditions:

10.6.1

In the event of a successful referral, the Recruiter shall be entitled to payment of a partial amountequal to 50% of the Referral Commission, possibly minus the proportional donation amount pursuant to Clause 10.8.Payment to the Recruiter shall be made by Recruiteroo within 14 days after notification of the successful referralto the Recruiter.

10.6.2

The Recruiter’s entitlement to payment of the remaining Referral Commission shall not arise and shalllapse if (i) the employment contract concluded between the Applicant and the Employer is terminated or otherwiseended within three (3) months (the "Probation Period"), and (ii) the Employer has informed Recruiteroo of thistermination via the corresponding portal function before the end of the Probation Period. If the employment contractis not terminated before the end of the Probation Period or the Employer fails to inform Recruiteroo in time, weshall pay the remaining 50% of the Referral Commission, possibly minus the proportional donation amount pursuant toClause 10.8, to the Recruiter. Payment shall be made within 14 days after the end of the Probation Period.

10.7

The payment of the Referral Commission, possibly minus the donation amount pursuant to Clause 10.8,shall be made via the external provider Stripe Payments Europe Limited, 1 Grand Canal Street Lower, Grand CanalDock, Dublin, D02 H210, Ireland (hereinafter "Stripe"). A prerequisite for payment is that the Recruiter has createda user account with Stripe. The Recruiter guarantees that the bank account details or payment information providedto Stripe are accurate and complete and undertakes to keep them up to date.

10.8

The Recruiter is aware that, at their request, a portion of the Referral Commission due to them (the"Donation Amount") may be automatically donated to a charitable organization or social enterprise of their choice.The Recruiter can make this selection in their profile settings. If the Recruiter makes use of this option, theremaining Referral Commission after deduction of the Donation Amount shall be paid to the Recruiter upon fulfillmentof the conditions set out in this Clause 10.

11. Compliance with Tax Obligations by the Recruiter; Notifications under the Platform TaxTransparency Act
11.1

The Recruiter is solely responsible for complying with tax regulations in Germany and in their countryof residence, including any resulting obligations, particularly regarding the taxation and payment of any levies onthe commissions received. This also applies to social security regulations and obligations.

11.2

We point out that, as the operator of a digital platform, we are obligated under the Platform TaxTransparency Act to report certain data of Recruiters to the German Federal Central Tax Office (BZSt). This includesinformation about income earned by Recruiters on our Platform, provided that a remuneration of at least EUR 2,000has been credited to them within a calendar year. This applies to both domestic and EU-based Recruiters. The BZStforwards the received information to the competent German tax offices or – in the case of EU-based Recruiters – tothe relevant European authorities. The Recruiter guarantees that the information requested for this purpose (e.g.tax identification number, VAT ID, primary address, country of residence, etc.) is accurate and complete. TheRecruiter undertakes to notify us immediately of any future changes and to keep this information up to date at alltimes.

12. Participation in the Croodits Program; Croodits Conditions
12.1

Recruiters have the opportunity to earn points (hereinafter "Croodits") by participating in theCroodits Program. Participation in the Croodits Program is automatic.

12.2

Croodits are points awarded to the Recruiter for performing certain actions within the Platform (e.g.daily logins, successful referrals, reaching the daily referral limit, recommendations, etc.). Upon registration,the Recruiter receives a starting balance, the amount of which is determined by the applicable Croodits Conditions(the "Croodits Conditions").

12.3

The Recruiter can view their accumulated Croodits at any time within the Platform. AccumulatedCroodits may expire under the circumstances specified in the Croodits Conditions. The Croodits accumulated by theRecruiter may be visible to other Recruiters and Employers.

12.4

The number of Croodits accumulated by the Recruiter affects the number of referrals (sending ofReferral Links pursuant to Clause 9.1) the Recruiter can make per day, as well as the amount of commission paid forsuccessful referrals (Clause 10.5).

12.5

Recruiteroo reserves the right to adjust the Croodits Conditions at any time, particularly the typesof actions that lead to the accrual of Croodits, the starting balance, and the number of Croodits required to issuean additional referral.

III. Special Provisions for Employers

13. Publication of Job Postings; Forwarding of Application Documents to the Employer
13.1

Job postings are created and published on the Platform by the respective Employers under their ownresponsibility. We do not perform any content review of the job postings or the information provided by the Employerin this context, particularly with regard to their accuracy, legality, timeliness, or the availability of the jobpostings.

13.2

Applicants have the opportunity to apply for job postings that have been forwarded to them by aRecruiter via a Referral Link. For this purpose, we transmit the application documents and information provided bythe Applicant in the course of their application to the respective Employer. Only those documents and informationthat the Applicant has submitted as part of their application are available. The Applicant is solely responsible forthe content of such information. We explicitly do not adopt the content of the Applicant’s documents and assume noresponsibility for the Applicant’s true identity. In case of doubt, the Employer is expected to verify theApplicant’s identity appropriately.

13.3

The processing of the Applicant’s documents and the handling of the application process are solely theresponsibility of the Applicant and the Employer. We are not a party to the application process and have no controlover how the Employer uses the Applicant’s documents and information. The Employer is solely responsible forensuring that the provisions of the General Equal Treatment Act (AGG), the German Constitution, and other mandatorylegal requirements are observed during the selection of Applicants.

14. Referral Fee
14.1

The Employer acknowledges that Recruiters may forward job postings published by the Employer toindividuals known to them (hereinafter "Applicants"). For this purpose, a so-called "Unique Link" (hereinafter"Referral Link") is generated for the respective job offer, which the Recruiter can share with the intendedApplicant. The Applicant can apply for the linked job posting via the Referral Link received from the Recruiter.Under the following conditions, the Employer is obligated to pay a fee to Recruiteroo in the event of a successfullycompleted referral (the "Referral Fee"). A referral is deemed successful if:

14.1.1

The Applicant has clicked on the Referral Link sent by the Recruiter and applied for the respectivejob posting of the Employer; and

14.1.2

Subsequently, a legally binding employment contract has been concluded between the Applicant and theEmployer who published the respective job posting.

14.2

The Employer acknowledges that Recruiteroo’s entitlement to the Referral Fee depends on the success ofthe application process initiated with the Employer and undertakes to promptly update the status of pendingapplication processes (rejected or successfully completed) on the Platform. The Employer must also promptly informRecruiteroo via the corresponding portal function if the employment contract concluded between the Applicant and theEmployer is terminated or otherwise ended within three (3) months (the "Probation Period"). If the Employer fails toinform Recruiteroo of the termination before the end of the Probation Period, the Probation Period shall be deemedcompleted even if the contract was effectively terminated.

14.3

The Employer shall not make a job offer to an Applicant referred by a Recruiter while circumventingtheir obligation to update and notify under Clause 14.2 and their obligation to pay the Referral Fee under Clauses14.4 et seq.

14.4

The amount of the Referral Fee payable by the Employer to Recruiteroo in the event of a successfulreferral is determined by the current pricing overview available on the Platform at any time.

14.5

The Referral Fee owed to Recruiteroo shall be paid in two installments upon fulfillment of thefollowing conditions:

14.5.1

In the event of a successful referral, Recruiteroo shall be entitled to payment of a partial amountequal to 70% of the Referral Fee. This partial amount becomes due immediately upon notification of the successfulreferral to Recruiteroo.

14.5.2

Recruiteroo’s entitlement to the remaining Referral Fee shall not arise and shall lapse if (i) theemployment contract concluded between the Applicant and the Employer is terminated or otherwise ended before the endof the Probation Period, and (ii) the Employer has informed Recruiteroo of this termination via the correspondingportal function before the end of the Probation Period. If the employment contract is not terminated before the endof the Probation Period or the Employer fails to inform Recruiteroo in time, the Employer shall be obligated to paythe remaining 30% of the Referral Fee to Recruiteroo. The remaining Referral Fee becomes due immediately uponexpiration of the Probation Period.

14.5.3

The Referral Fee shall be automatically collected via the external provider Stripe Payments EuropeLimited, 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, D02 H210, Ireland (hereinafter "Stripe"), uponfulfillment of the above conditions. The collection is made via the payment method stored by the Employer withRecruiteroo.

1. Scope of Application
1.1

The provider of the Recruiteroo platform (hereinafter referred to as the "Platform") is Recruiteroo UG (haftungsbeschränkt), Ludwigshafener Straße 55, 67141 Neuhofen, Germany (hereinafter referred to as "we" or "Recruiteroo").

1.2

We make our Platform available for use by job seekers (hereinafter "Applicants") who have reached the age of 18.

1.3

These Terms of Use for Applicants (hereinafter "Terms") constitute the sole and complete agreement between us and the Applicant regarding the use of the Platform. We do not recognize any terms and conditions of the Applicant that deviate from these Terms unless we have expressly agreed to their validity.

2. Our Services
2.1

We provide a solution via the Platform that allows Employers to publish their own job postings. Recruiters have the opportunity to forward job postings published on the Platform to individuals known to them who are seeking employment, by sending a link (hereinafter "Referral Link") to the respective job offer. Applicants who receive a Referral Link are free to click on it and apply for the respective job posting.

2.2

Our services consist of providing access to the Platform and enabling applications to job postings.

3. Provision of Platform Usage
3.1

We provide our Platform in its current version as a web application.

4. Application to Job Postings and Forwarding of Application Documents to the Advertising Employer
4.1

Applicants have the opportunity to apply for job postings that have been forwarded to them by a Recruiter via a Referral Link. Creating a user account is not required in order to apply for the job posting referred by the Recruiter.

4.2

For the purpose of Clause 4.1, we forward the application documents and information provided by the Applicant in the course of their application to the respective Employer. Only those documents and information that the Applicant has submitted as part of their application are available. The Applicant is solely responsible for the content of such information. We explicitly do not adopt the content of the Applicant’s documents. The Applicant warrants that the information provided in their application documents is true and complete.

4.3

The processing of the Applicant’s documents and the handling of the application process are solely the responsibility of the Applicant and the Employer. We are not a party to the application process and have no control over how the Employer uses the Applicant’s documents and information. The Employer is solely responsible for ensuring that the provisions of the General Equal Treatment Act (AGG), the German Constitution, and other mandatory legal requirements are observed during the selection of Applicants.

4.4

Job postings are created and published on the Platform by the respective Employers under their own responsibility. We do not perform any content review of the job postings or the information provided by the Employer in this context, particularly with regard to their accuracy, legality, timeliness, or the availability of the job postings. In case of doubt, the Applicant is expected to verify the accuracy of the information appropriately.

5. Pre-Screening of Application Documents by the Referring Recruiter
5.1

If the Recruiter has opted to conduct a pre-screening of the Applicant’s documents before sending the Referral Link, the Applicant’s documents will first be transmitted to the Recruiter before being forwarded to the Employer for whom the Applicant wishes to apply. The Applicant will be informed of this before submitting their application.

5.2

The Recruiter has five days to review the application and decide whether to forward it to the Employer. In both cases, the Applicant will be informed via email. If no review is conducted within five days, the application will automatically be forwarded to the Employer. The Applicant will also be informed of this via email.

5.3

The review of the Applicant’s documents is the sole responsibility of the Recruiter. We are not involved in the pre-screening process and have no control over how the Recruiter uses the Applicant’s documents and information.

6. Free Use; Paid Additional Features
6.1

Use of the Platform in its basic functions is free of charge. The Applicant must only agree to the validity of these Terms of Use.

6.2

We offer additional features within the Platform for a fee. Prices include statutory VAT.

7. Obligations of the Applicant; Prohibited Conduct
7.1

The Applicant warrants that the information provided in their application documents and other submitted information is truthful and up to date.

7.2

The Applicant warrants that, in using information, images, and other documents in their application and while using the Platform, the rights of third parties are respected, particularly copyright, trademark rights, and personal rights. The Applicant shall indemnify us against all claims asserted by third parties due to infringement of their rights or legal violations resulting from content submitted by the Applicant, provided the Applicant is responsible for such violations. The Applicant shall also bear the costs of our legal defense, including all court and attorney fees.

7.3

Content in application documents and/or other information that glorifies violence, endangers youth, is racist or pornographic, or violates applicable laws, official orders, or third-party rights (e.g. copyrights, industrial property rights, personal rights) is prohibited.

8. Rights of Use; Transmission of Applicant Information to Advertising Employers and Recruiters
8.1

We grant the Applicant a simple, non-exclusive, non-transferable, and non-sublicensable right to use the Platform for an unlimited period.

8.2

We are entitled to process the information and documents provided by the Applicant in the course of their application for a job posting for the purpose of providing our services under these Terms of Use, particularly for handling and forwarding application requests to the advertising Employer and, in the case of Clause 5, to the referring Recruiter.

9. General Liability
9.1

9.3

To the extent that our liability is excluded or limited, this also applies to the personal liability of our legal representatives and vicarious agents.

10.1

If an Applicant violates any provision of these Terms for reasons attributable to them, we may, after prior notification of the Applicant, restrict or suspend the Applicant’s access to the Platform if the violation can demonstrably be remedied in this way.

10.2

If an Applicant repeatedly violates the provisions of these Terms, we are entitled to exclude the Applicant from using the Platform.

11. Consumer Dispute Resolution
11.1

We do not participate in dispute resolution proceedings before a consumer arbitration board and are not obliged to do so.
